1. These Terms
These Terms of Service ("Terms") govern your use of the youzu.ai website and of the Youzu platform — the customer dashboard, APIs, SDKs, and related services (together, the "Services"). The Services are provided by Youzu OÜ, registry code 17222905, Ahtri tn 12, Kesklinna linnaosa, 15551 Tallinn, Estonia ("Youzu", "we"). By using the Services, you agree to these Terms.
The Services are intended for business customers. If you use the Services on behalf of a company, you confirm that you are authorised to bind that company, and "you" refers to it. Where you and Youzu have signed a separate written agreement (for example a master services agreement or order form), that agreement prevails over these Terms to the extent of any conflict.
2. Accounts and Organizations
To use the platform you must create an account with accurate, current information. Accounts belong to an organization; organization owners and administrators can invite members, assign roles, and set feature permissions, and are responsible for managing that access. You are responsible for keeping credentials and API keys confidential and for all activity under your organization's accounts. Notify us immediately at [email protected] if you suspect unauthorised use.
3. Subscriptions, Trials, and Fees
Paid features are provided under the subscription plan you select, at the prices and terms presented when you order. Fees are billed in advance for the chosen billing period, are exclusive of applicable taxes, and are non-refundable except where required by law or expressly agreed. Payments are processed by third-party payment providers; we do not store full card details.
Free trials, where offered, run for the stated period and may be limited in scope. At the end of a trial, access to paid features ends unless you subscribe. If a payment fails or an invoice remains unpaid, we may suspend access to paid features until payment is received. We may change plan prices with effect from your next billing period, with reasonable advance notice.
4. APIs and SDKs
Subject to these Terms, we grant you a non-exclusive, non-transferable right to access our APIs and use our SDKs to integrate the Services into your own applications and sites during the term of your subscription. API keys are confidential and may not be shared outside your organization. We may apply and adjust reasonable usage and rate limits to protect the stability of the platform. You may not resell or provide the Services to third parties as a standalone service, use them to build a competing product, or attempt to reverse engineer them except to the extent such a restriction is prohibited by applicable law.
5. Customer Content
"Customer Content" is the data you submit to the platform — product catalogues, product data and images, room photos, and other material. You retain all rights to Customer Content. You grant us a non-exclusive, worldwide licence to host, process, reproduce, and display Customer Content solely as needed to provide, secure, and improve the Services. You are responsible for ensuring that you have the necessary rights to the Customer Content you submit and that it does not infringe third-party rights or applicable law.
Where Customer Content contains personal data, we process it on your behalf as a processor under a data processing agreement, available on request at [email protected]. See also our Privacy Policy. After termination, contact us promptly if you need to export Customer Content; we delete it in accordance with our retention practices.
6. AI-Generated Output
The Services use machine learning to generate output such as visual search results, recommendations, enriched catalogue data, and room visualizations. Such output is generated automatically and may be inaccurate or incomplete. You are responsible for reviewing output before relying on it or presenting it to your end users, and for how you use it. Subject to third-party rights in the underlying inputs, we claim no ownership of output generated from your Customer Content.
7. Acceptable Use
You agree not to:
- use the Services in violation of applicable law or third-party rights;
- upload malicious code or content that is unlawful or infringing;
- interfere with the operation of the Services, circumvent usage limits or access controls, or access non-public systems;
- probe or test the security of the Services except as described in our responsible disclosure policy;
- scrape or bulk-extract data from the Services outside documented APIs.
We may suspend access that endangers the Services or violates this section.
8. Intellectual Property
The Services, including software, models, design, and website content, are and remain the property of Youzu or its licensors. No rights are granted except as expressly set out in these Terms. If you give us feedback or suggestions, we may use them without restriction or compensation.
9. Confidentiality
Each party will keep the other's non-public information confidential and use it only as needed to perform under these Terms, except where disclosure is required by law. This obligation survives termination.
10. Changes to the Services
We continuously develop the Services and may modify or discontinue features. If a change materially reduces the core functionality of a paid subscription, we will give you reasonable advance notice, and you may terminate the affected subscription with effect from the change.
11. Warranties and Disclaimers
We provide the Services with reasonable skill and care. However, the Services are provided "as available": we do not warrant that they will be uninterrupted, error-free, or fit for a particular purpose, and website content is provided for general information only. To the maximum extent permitted by law, all other warranties are excluded.
12. Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, loss of profits, revenue, or data, and each party's total aggregate liability arising out of or in connection with the Services is limited to the fees paid by you to Youzu in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for intentional misconduct, gross negligence, or any liability that cannot be limited under applicable law.
13. Indemnity
You will indemnify Youzu against third-party claims arising from your Customer Content or your use of the Services in violation of these Terms or applicable law.
14. Term, Suspension, and Termination
These Terms apply for as long as you use the Services. Subscriptions run for the chosen billing period and renew until cancelled effective at the end of the current period. Either party may terminate for material breach that remains uncured 14 days after written notice; we may suspend or terminate immediately for serious violations of section 7 or unpaid fees. Upon termination, your right to access the platform ends; sections that by their nature should survive (including 5, 8, 9, 12, 13, and 16) survive.
15. Changes to These Terms
We may update these Terms from time to time. For material changes affecting active subscriptions, we will give at least 30 days' notice by email or through the platform; continued use after the effective date constitutes acceptance. The current version is always available at youzu.ai/terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict of law rules. The courts of Estonia, with Harju County Court in Tallinn as the court of first instance, have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
